These Terms of Service (the “Terms”) govern the use of services provided by Maple Bridge Romanian Language Services Inc. (the “Company,” “we,” “us,” or “our”), with a business address at 2145 Lawrence Avenue East, Suite 302, Toronto, ON M1R 2Z9, Canada. By booking, purchasing, accessing, or using any of our services, you agree to be bound by these Terms.

1. Introduction and Acceptance of Terms

These Terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Maple Bridge Romanian Language Services Inc. regarding your access to and use of our Romanian language learning services. If you do not agree to these Terms, you must not use our services.

By engaging our services, submitting payment, attending a class, participating in a session, or otherwise using our offerings, you acknowledge that you have read, understood, and agreed to these Terms.

2. Scope of Services

Maple Bridge Romanian Language Services Inc. provides Romanian-learning services, which may include, but are not limited to:

• One-on-one Romanian language tutoring;
• Small group Romanian conversation classes;
• Romanian for heritage speakers;
• Business Romanian and workplace communication;
• Pronunciation and accent coaching;
• Romanian reading and writing support; and
• Romanian culture and travel language workshops.

We may offer services online, in person, or in hybrid format, as described at the time of booking. We reserve the right to modify, suspend, or discontinue any service, class, session, or program at any time, subject to applicable law and any prepaid services already purchased.

Any schedules, syllabi, teaching materials, service descriptions, duration estimates, or learning outcomes provided by us are informational and may be adjusted based on instructor availability, class progress, learner needs, or other operational considerations.

3. User Obligations and Responsibilities

You agree to use our services responsibly and in accordance with these Terms. You are responsible for:

• Providing accurate, current, and complete information when registering, booking, or communicating with us;
• Ensuring that your contact details remain up to date;
• Attending sessions on time and prepared to participate;
• Maintaining respectful conduct toward instructors, staff, and other participants;
• Using any materials provided solely for your personal, non-commercial learning purposes unless we expressly permit otherwise in writing;
• Ensuring you have the necessary equipment, internet access, software, or learning environment required for online services;
• Complying with all applicable laws and regulations; and
• Refraining from recording, reproducing, distributing, or sharing classes, sessions, or materials without our prior written consent.

You acknowledge that progress in language learning depends on individual effort, attendance, practice, and other personal factors. We do not guarantee any specific learning outcome, proficiency level, or certification result.

We may refuse service, terminate a session, or remove a participant from a class where we reasonably determine that conduct is disruptive, abusive, unsafe, unlawful, or otherwise inconsistent with these Terms.

4. Payment Terms and Conditions

Unless otherwise agreed in writing, fees for services must be paid in advance at the time of booking or in accordance with the payment schedule communicated to you.

• All prices are stated in Canadian dollars (CAD) unless expressly indicated otherwise.
• Taxes, including applicable federal and provincial sales taxes, may be added where required by law.
• Failure to make payment when due may result in suspension or cancellation of services.
• We may use third-party payment processors. Your use of such processors may also be subject to their terms and privacy practices.
• You are responsible for any charges imposed by your financial institution, payment provider, or telecommunications provider.

We reserve the right to change our pricing at any time. Price changes will not affect services already paid for unless otherwise required by law or expressly agreed.

For recurring packages, subscriptions, or multi-session programs, the specific payment terms, expiration periods, and usage conditions will be those set out in the applicable service description, invoice, or written agreement.

5. Cancellation and Refund Policy

Because our services involve time reservations and instructor scheduling, cancellation and refund conditions apply as follows unless a different policy is communicated in writing for a particular service:

• Cancellations made within the permitted notice period specified at booking may be eligible for a reschedule or refund, at our discretion and subject to any processing fees permitted by law.
• Late cancellations, missed sessions, or no-shows may be charged in full and are generally not refundable.
• For group classes or workshops, refunds may not be available once the course has begun, except where required by law or expressly stated in the service terms.
• If we cancel a session due to instructor unavailability, technical failure on our side, or other operational reasons, we will use reasonable efforts to reschedule or provide a refund for the cancelled session, as applicable.
• Refund requests must be submitted in writing to the contact information listed in Section 12.

Any approved refund will be issued using the original payment method where practicable, within a reasonable period, subject to payment processor timelines and applicable law.

Nothing in this section limits any non-waivable consumer rights under applicable Ontario or Canadian law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Bridge Romanian Language Services Inc., its directors, officers, employees, contractors, and instructors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of data, loss of opportunity, or business interruption, arising out of or related to your use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount paid by you for the specific service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or the minimum amount permitted by applicable law, whichever is greater.

We do not warrant that our services will be uninterrupted, error-free, or available at all times. We are not responsible for failures caused by internet outages, third-party platforms, force majeure events, or circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or personal injury caused by negligence where such limitation is prohibited by law.

7. Intellectual Property Rights

Unless otherwise stated, all content, course materials, worksheets, lesson plans, handouts, audio recordings, video content, logos, text, graphics, designs, and other materials provided by Maple Bridge Romanian Language Services Inc. are owned by us or our licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use materials provided to you solely for your personal educational use in connection with our services. You may not, without our prior written consent:

• copy, reproduce, distribute, publish, display, or transmit our materials;
• sell, sublicense, or commercialize any materials;
• modify, adapt, translate, or create derivative works based on our materials;
• record live sessions, classes, or workshops;
• remove proprietary notices or branding from materials; or
• use our materials in any manner that infringes intellectual property rights.

If you submit feedback, suggestions, testimonials, or ideas to us, you grant us a non-exclusive, worldwide, royalty-free license to use such submissions for business, educational, or promotional purposes, subject to applicable privacy laws and any applicable written consent requirements.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Ontario privacy requirements and other relevant laws.

By using our services, you consent to the collection and use of your personal information as reasonably necessary to:

• provide and manage services;
• process payments and issue receipts;
• communicate with you about schedules, service updates, and support matters;
• maintain business records;
• improve our services; and
• comply with legal, tax, accounting, or regulatory obligations.

We may use third-party service providers for scheduling, communications, hosting, analytics, or payment processing. These providers may process personal information on our behalf in accordance with contractual and legal obligations.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

If you have questions about our privacy practices or wish to request access to, correction of, or deletion of your personal information where applicable, please contact us using the details in Section 12.

9. Force Majeure

We will not be liable for any delay, failure, or interruption in performing our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

• natural disasters;
• fires, floods, severe weather, epidemics, or pandemics;
• war, terrorism, civil unrest, or labour disruptions;
• power outages or telecommunications failures;
• government actions, orders, or restrictions;
• platform outages or third-party service disruptions; or
• any other similar event beyond our reasonable control.

Where practicable, we will make reasonable efforts to resume services, reschedule affected sessions, or otherwise mitigate the impact of a force majeure event.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, operational practices, or legal requirements. The updated Terms will be effective as of the date indicated at the top of the document or another stated effective date.

Where required by law or where the changes are material, we will make reasonable efforts to provide notice by email, website posting, or other appropriate means. Your continued use of our services after the updated Terms become effective constitutes your acceptance of the revised Terms.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, our services, or your use of our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any legal proceeding arising out of or relating to these Terms, subject to any mandatory rights you may have under applicable consumer protection laws.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, void, or unenforceable by a court or other competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Where any provision is invalid or unenforceable, it shall be interpreted, to the extent possible, in a manner that best reflects the original intent of the parties and remains enforceable under applicable law.

Entire Agreement: These Terms constitute the entire agreement between you and Maple Bridge Romanian Language Services Inc. regarding the subject matter herein and supersede prior or contemporaneous understandings or agreements, whether written or oral, except as expressly provided in a separate written agreement signed by both parties.
